1. Acceptance of terms
These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“you”, “your”) and Timely (“Timely”, “we”, “us”) governing your access to and use of the Timely web platform and desktop tracker (collectively, the “Service”).
By creating an account, registering an organization, installing the desktop tracker, or otherwise using the Service you agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization.
2. Accounts and roles
The Service supports three roles: Super Admin (Timely operator), Organization Admin (the organization that owns the workspace), and Employee (a user added by the Organization Admin). You are responsible for:
- Providing accurate registration information.
- Keeping your password confidential and your account secure.
- All activity that occurs under your credentials.
Notify us immediately of any unauthorized use of your account through our Contact page.
3. Subscriptions and billing
Access to paid features is provided on a subscription basis. By selecting a plan during registration you authorize us — through Stripe or SSLCommerz — to charge the applicable fees on a recurring basis until the subscription is canceled.
- Subscriptions automatically renew at the end of each billing period.
- You can cancel at any time from the Organization Admin panel; cancellation takes effect at the end of the current billing period.
- Refunds are governed by our Refund Policy.
- We may update pricing on at least 30 days' written notice.
4. Acceptable use
You agree not to use the Service to:
- Track individuals without their knowledge or applicable legal consent.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Probe, scan, or test the vulnerability of any system or network without written consent.
- Interfere with or disrupt the integrity, performance, or availability of the Service.
- Upload or transmit malware, viruses, or any other harmful code.
- Use the Service in violation of any applicable law, regulation, or third-party right.
As an Organization Admin you are responsible for informing your employees that the desktop tracker is installed and what data it collects, in accordance with the laws of your jurisdiction.
5. Data ownership
You retain all rights, title, and interest in the data you submit to the Service (“Customer Data”). By using the Service you grant Timely a limited, non-exclusive, worldwide license to host, process, and display Customer Data solely as necessary to provide the Service and as described in our Privacy Policy.
6. Service availability
We aim for 99.9% monthly uptime, excluding scheduled maintenance and events outside our reasonable control. The Service is provided on an “as is” and “as available” basis; we do not warrant that it will be uninterrupted, error-free, or completely secure.
7. Termination
We may suspend or terminate access to the Service if you breach these Terms, fail to pay fees, or use the Service in a way that exposes us or other customers to legal or operational risk. You may terminate your subscription at any time from the Organization Admin panel.
Upon termination, productivity data is retained for the period described in the Privacy Policy to allow export, then permanently deleted.
8. Intellectual property
The Service, including its software, design, branding, and documentation, is the intellectual property of Timely or its licensors. Except for the limited rights expressly granted in these Terms, no other rights are granted to you, by implication or otherwise.
9. Limitation of liability
To the maximum extent permitted by law, Timely shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service.
Timely’s aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid Timely for the Service in the twelve (12) months preceding the event giving rise to the claim.
10. Changes to these Terms
We may modify these Terms from time to time. The “Last updated” date at the top reflects the latest revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing law
These Terms are governed by and construed in accordance with the laws applicable to Timely’s primary place of business, without regard to conflict-of-laws principles. Disputes shall be resolved exclusively in the competent courts of that jurisdiction.
